Terms of Service

1. Acceptance

By creating an account or using any Indxel service (website, dashboard, CLI, npm package, MCP server), you agree to these Terms. If you do not agree, do not use the service.

2. Description of the service

Indxel provides SEO validation infrastructure for developers, including:

• An open-source npm package and CLI for SEO checks.
• A cloud dashboard for monitoring SEO health, indexation, and historical trends.
• An MCP server for AI-assisted SEO auditing.
• CI/CD integrations to block deploys on broken SEO.
• Auto-indexation via IndexNow and Google Indexing API.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately at contact@indxel.com if you suspect unauthorized access.

4. Free and paid plans

Indxel offers Free, Plus, and Pro plans as described on the Pricing page.

• The Free plan is available at no cost with limited features.
• Paid plans are billed monthly via Stripe. Prices are in EUR and exclude applicable taxes.
• You can upgrade, downgrade, or cancel at any time from your billing portal. Cancellation takes effect at the end of the current billing period.
• We reserve the right to change pricing with 30 days' notice. Existing subscriptions are honored until the end of their current period.

5. Refunds

As a digital service, refunds are handled on a case-by-case basis. If you are unsatisfied, contact us within 14 days of your payment and we will work with you to resolve the issue or issue a refund. Under EU consumer law, you have the right to withdraw from a digital purchase within 14 days, unless you have expressly consented to the service beginning immediately.

6. Acceptable use

You agree not to:

• Use the service for any illegal purpose or to violate any laws.
• Abuse, overload, or interfere with the service infrastructure.
• Attempt to access other users' accounts or data.
• Reverse-engineer the cloud dashboard (the open-source tools are MIT-licensed and free to inspect).
• Use automated systems to scrape the dashboard beyond documented API endpoints.

7. Open-source components

The Indxel npm package (indxel), CLI (indxel-cli), MCP server (indxel-mcp), and CI guard (indxel-ci) are released under the MIT License. These Terms apply to the cloud dashboard and hosted services, not to the open-source packages used independently.

8. Intellectual property

You retain ownership of your data (website URLs, SEO reports, configurations). We retain ownership of the Indxel brand, design, and proprietary cloud features. The open-source code is governed by its MIT license.

9. Data and privacy

Your data is handled in accordance with our Privacy Policy. By using the service, you consent to the collection and processing described therein.

10. Service availability

We aim for high availability but do not guarantee 100% uptime. The service is provided “as is” without warranty. We are not liable for damages caused by downtime, data loss, or bugs. We may perform maintenance with reasonable notice.

11. Limitation of liability

To the maximum extent permitted by law, Indxel's total liability is limited to the amount you paid for the service in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or search rankings.

12. Termination

You can delete your account at any time. We may suspend or terminate accounts that violate these Terms, with notice when reasonably possible. On termination, your data is deleted within 30 days, except as required by law.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via email or dashboard notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.

14. Governing law

These Terms are governed by French law. Any disputes will be submitted to the competent courts of Paris, France. For EU consumers, mandatory consumer protection laws of your country of residence may also apply.
